Zennesis Studio provides Growth-as-a-Service and Design-as-a-Service, including custom website design, web engineering, SEO metadata configuration, managed cloud hosting, ongoing website maintenance, and digital design add-ons as described on our website.

By visiting zennesis.com, creating a Client Portal account, submitting onboarding forms, or subscribing to any package (Value, Essentials+, Premium Growth, or bespoke plans), you agree to be bound by these Terms and Conditions and our referenced policies.

All services are rendered strictly as independent contractor services. Nothing herein establishes any joint venture, employment, or agency relationship between Zennesis and the Client.

Billing Cycles: Subscription packages are billed on a recurring monthly or annual basis, as selected at the time of checkout. Subscriptions renew automatically at the end of each billing term unless cancelled prior to the renewal date.

Payment Processor: All card transactions are processed securely through our authorized payment partner, Stripe. Zennesis does not directly collect, store, or process raw payment card numbers. You authorize Stripe and Zennesis Studio to charge your designated payment method for all applicable fees.

Currencies & Taxes: All rates quoted are in Ringgit Malaysia (MYR) unless explicitly stated otherwise. Fees are exclusive of any applicable statutory taxes (such as Malaysian Sales and Service Tax / SST) where mandated by law.

Failed Transactions: If a scheduled renewal payment fails, we will notify you and retry billing. If payment remains outstanding after 5 consecutive days, Zennesis reserves the right to suspend development queues and temporarily pause website hosting until arrears are settled.

Initial Delivery: Standard initial drafts for local business websites are typically delivered within 7 to 14 business days from the date full business details, content raw materials, and branding assets are received from the Client.

Unlimited Revisions: Plans offering "Unlimited Revisions" empower Clients to request iterative adjustments to design, typography, imagery, layout, and copy until fully satisfied. Requests are handled sequentially in an active queue (one to two concurrent active work items at a time).

Fair Use Policy: Revisions apply to the scope defined within the subscribed package. Unlimited revisions do not encompass entirely separate websites, new domains, multi-vendor custom code modules, or complete architectural shifts that exceed the original package scope without upgrading.

Client Responsibilities: The Client is solely responsible for ensuring prompt feedback and verifying that all supplied media, trademarks, text, and customer credentials comply with applicable copyright and trade laws.

Client Content: You retain complete ownership of all trademarks, logos, copy, images, and data that you provide to us. You grant Zennesis Studio a non-exclusive, worldwide license to use, display, and modify such materials solely for the purpose of building and maintaining your website.

Deliverables & Codebase: Upon full and timely payment of subscription fees, the visual design output, custom branding layouts, and specific website copies created for you belong to you for use while your subscription is maintained.

Proprietary Frameworks: Zennesis retains all rights, title, and interest in and to underlying design systems, proprietary tools, scripts, software libraries, and server configurations ("Agency IP").

Portfolio & Promotional Rights: You grant Zennesis Studio the right to showcase your completed website, screenshots, and metrics in our portfolio, case studies, and marketing bulletins, unless a written non-disclosure agreement (NDA) has been agreed upon prior.

Managed Hosting: High-speed hosting, automatic SSL certificates, global CDN edge routing, and automated backups are included with active website subscriptions.

Maintenance: Our team performs continuous security monitoring, framework updates, dependency patches, and uptime checks.

Uptime Disclaimer: While we target 99.9% uptime, we cannot warrant that services will be uninterrupted or error-free at all times. Scheduled maintenance or service disruptions caused by upstream global providers (such as cloud networks, domain registrars, Supabase, or Stripe) do not constitute a breach of this agreement.

No Lock-In Contracts: You may cancel your subscription at any time directly through the Client Portal or by emailing hello@zennesis.com at least 3 business days before your scheduled billing renewal.

Post-Cancellation Status: Upon cancellation, your subscription will remain active until the conclusion of the current paid billing cycle. Following the end of the paid period, active maintenance, revision queues, and managed hosting will cease.

Site Migration & Code Export: Clients on active subscriptions for at least twelve (12) consecutive months may request a static code export archive of their frontend website for self-hosting at no additional cost. For cancellations prior to 12 months, code export buy-out options are available upon request.

Limitation of Liability: To the maximum extent permitted under Malaysian law, Zennesis Studio and CLEVER MIKE THAY WAN FATT shall not be liable for any indirect, incidental, punitive, or consequential damages, including loss of profits, revenue, or business reputation, arising from your use or inability to use our services. Our total aggregate liability under any claim shall not exceed the amount paid by you to Zennesis in the three (3) months preceding the claim.

Indemnification: You agree to indemnify and hold harmless Zennesis Studio, its proprietor, and associates against any claims, damages, liabilities, and expenses arising out of any materials, trademarks, or content supplied by you that violate any third-party intellectual property or statutory regulation.

Governing Law & Jurisdiction: These Terms and Conditions shall be governed by and construed in accordance with the laws of Malaysia. Any legal dispute or proceeding arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts of Malaysia (including the High Court of Sabah and Sarawak).

Modifications to Terms: We reserve the right to revise these Terms at any time. Changes become effective upon publication on this page. Significant alterations will be notified to active subscribers via email or through the Client Portal.
